KLIQ Terms of Use

By accessing or using our website, patient portal, or any related services (the "Services"), you agree to these Terms of Use ("Terms"). If you do not agree, do not use the Services.

KLIQ provides administrative coordination tools that help a clinic, physician practice, or surgery center (the "Clinic") collect information and generate outputs (such as summaries and scores) for the Clinic's review.

No medical advice: KLIQ does not provide medical advice, diagnosis, or treatment, and does not replace a licensed healthcare provider's judgment. All clinical decisions are made by the Clinic.

Clinical decision support only: KLIQ outputs are informational and are not determinations of diagnosis, treatment, or appropriateness of care. Timing, necessity, and type of care are determined solely by the treating healthcare provider.

No guarantee of care timing or outcomes: KLIQ does not control scheduling, referrals, or access to care and does not guarantee earlier diagnosis, treatment, or improved outcomes.

Not for emergencies: Do not use the Services for medical emergencies. Call 911 (or local emergency services) or go to the nearest emergency room.

You must be at least 18 years old (or the age of majority where you live) to use the Services unless a parent/guardian consents and the Clinic permits use.

Some Services require a Clinic-provided code or link. You agree not to share your access code/link, not to attempt to access anyone else's information, and not to interfere with or disrupt the Services.

We may suspend access if we believe a code/link is misused.

You may receive communications from KLIQ or the Clinic about the Services (for example, confirmations, reminders, or next steps). You are responsible for keeping your contact details (if provided) current.

Email and PHI: We do not request or intend to receive Protected Health Information ("PHI") through ordinary email. Emails from KLIQ will generally contain administrative information or links to the portal.

If you or a third party sends PHI to KLIQ by email, you acknowledge that email may not be secure. If we receive PHI by email, we may (a) respond with instructions to use the portal instead, (b) limit what we include in any email reply, and (c) store or handle the message as required to provide the Services, comply with law, and meet contractual obligations to the Clinic.

Minimization in email replies: If we respond to an email that appears to contain PHI, we may respond without repeating the PHI and instead provide instructions for secure follow-up through the portal.

You are responsible for information you submit. You agree not to submit content that is unlawful, threatening, or that infringes others' rights.

You agree not to attempt to reverse engineer, scrape, or disrupt the Services; introduce malware; bypass security or access controls; or use the Services to build a competing product based on KLIQ's proprietary outputs.

You agree not to send sensitive medical documents or PHI to KLIQ via email unless expressly instructed by the Clinic or the Services.

KLIQ and its licensors own the Services, including software, designs, text, and logos. You may not copy, modify, or distribute any part of the Services except as permitted by law.

Our Privacy Policy explains how we collect and use information.

HIPAA / PHI: In some implementations, the Services may involve Protected Health Information (PHI). When KLIQ creates, receives, maintains, or transmits PHI on behalf of a Clinic, KLIQ may be acting as a Business Associate, and our PHI handling is governed by the Business Associate Agreement (BAA) with the Clinic and applicable HIPAA requirements.

Clinic notice controls: The Clinic (as the "Covered Entity") controls its own HIPAA Notice of Privacy Practices and patient rights process. If you have questions about HIPAA rights (access, amendment, accounting of disclosures), contact the Clinic directly.

The Services may rely on third-party service providers (for example, hosting, security, email). We are not responsible for third-party products not provided by KLIQ, but we require service providers handling sensitive data to be under contractual obligations.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

KLIQ SHALL NOT BE LIABLE FOR ANY CLAIMS ARISING FROM CLINICAL DECISIONS, DELAYS IN CARE, OR RELIANCE ON SERVICE OUTPUTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLIQ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE DAMAGES, OR LOST PROFITS/REVENUES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID KLIQ (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Outputs are informational. Do not rely solely on them for healthcare decisions.

Healthcare decisions involve uncertainty. You assume responsibility for decisions made using the Services.

You agree to defend and indemnify KLIQ from claims arising from your misuse of the Services or violation of these Terms.

We may suspend or terminate access if you violate these Terms or if required to protect the Services, users, Clinics, or others.

We may update these Terms. We will post changes and update the effective date. Continued use means you accept the updated Terms.

These Terms are governed by the laws of [Illinois/Delaware], without regard to conflict of law principles.
